Provider Agreement
This agreement is between Freshd and you, the provider. It lets you list and sell car-care services through Freshd as an independent business. It includes the Cancellation, No-Show and Late Arrival Policy, the Vehicle Damage and Claims Policy and the Community & Messaging Guidelines.
1. Independent business
You are an independent contractor, not an employee, partner or agent of Freshd. You decide how, when and where you work, which bookings to accept, and what tools and products to use. You may offer services on other platforms. You receive no employee benefits from Freshd.
2. Eligibility and verification
- You must be at least 18 and legally allowed to work in the United States.
- You must hold any business licenses your city or state requires.
- You agree to identity verification through Freshd's payment provider and to any background check Freshd requires, where the law allows.
3. Insurance
- Providers must carry general liability insurance of at least $1,000,000 per occurrence.
- Providers who keep customer vehicles on their property must also carry garagekeepers coverage. Mobile providers must carry coverage for customer vehicles in their care, custody and control (for example, a care, custody and control endorsement). The amount must be enough to cover the vehicles you service.
- During the beta you may create a profile and list services without proof of insurance, but you must upload current proof and be approved before accepting paid bookings. Approved providers get the "Verified & insured" badge.
- Keep your coverage current and tell Freshd if it lapses. Freshd may pause your listing if coverage lapses.
4. Listings and pricing
- You set your own prices, services, service area and availability, and keep them accurate.
- You honor the price shown at booking. Extra charges require the customer's approval in the app before you do the work.
5. Fees and payouts
- Freshd's platform fee is 10% of the service price, charged only on completed, paid bookings.
- No sign-up fee and no monthly fee (Freshd Pro is optional). No fee on tips. No fee on cancelled or fully refunded bookings.
- Founding Provider offer: Providers who join during the beta pay a 0% platform fee for their first 90 days after payments launch.
- You receive the service price less the platform fee, plus 100% of tips.
- Payments and payouts run through Stripe Connect on Stripe's standard payout schedule. Payouts aren't available during the beta.
- Freshd may hold a booking's payout while a damage claim, dispute or chargeback is open, and may deduct refunds, provider cancellation fees and approved claim amounts from future payouts.
6. Taxes
You are responsible for your own income and self-employment taxes. Freshd's payment provider issues tax forms such as the 1099-K where the law requires. Freshd will tell you whether it collects sales tax on your services in your state; where it doesn't, collecting and paying it is your responsibility.
7. Service standards
- Check in through the app on arrival and complete the check-in condition report before every service, as described in the Damage and Claims Policy.
- Arrive on time, communicate through the app, and treat customers and their property with care.
- Follow all laws that apply to your work, including rules on water runoff, chemical use and disposal, and noise.
- Keep the customer's property, home and personal items off-limits except as the service requires.
8. Damage, liability and indemnity
You are responsible for damage, injury or loss caused by you, your helpers or your equipment. Report any incident to Freshd within 24 hours. You agree to defend and cover Freshd, including reasonable attorney's fees, against claims arising from your services, your conduct, or your breach of this agreement.
9. Non-circumvention
For 12 months after you first meet a customer through Freshd, you will not ask or accept payment from that customer outside Freshd for services, or encourage them to book with you directly. If you do, you owe Freshd the platform fee it would have earned on those services, and Freshd may remove your account.
10. Customer data and privacy
Use customer information (names, addresses, phone numbers, vehicle details) only to perform booked services. Don't sell it, share it, or use it for marketing unless the customer separately agrees. Keep it secure, delete it when no longer needed, and tell Freshd within 24 hours if it's lost or exposed.
11. Reviews
Freshd displays customer ratings and reviews. Don't post, buy or pressure for fake reviews, and don't offer anything in exchange for a review.
12. Suspension and termination
Either side may end this agreement at any time with written notice. Freshd may suspend or remove you immediately for safety concerns, fraud, lapsed insurance, repeated strikes under the Cancellation policy, or serious or repeated damage claims. You'll be paid for completed services, less any amounts owed under this agreement.
13. Limitation of liability
To the fullest extent allowed by law, Freshd is not liable for indirect, incidental or consequential damages, including lost business. Freshd's total liability to you is limited to the platform fees Freshd received from your bookings in the 3 months before the claim.
14. Governing law and changes
This agreement is governed by Ohio law, with claims brought in the state or federal courts in Hamilton County, Ohio. Freshd may update this agreement with at least 14 days' notice by email or in the app; continuing to accept bookings after that means you accept the update.
15. Acceptance
You accept this agreement by checking the acceptance box during provider onboarding. Freshd keeps a record of the date, time and version you accepted.
